"Invite a friend" Campaign — Terms and Conditions

1. Scope
The Campaign supplements Rioko's Terms of Service and Privacy Policy, which remain fully applicable. In case of conflict, and only as regards the Campaign, these terms prevail.
The Campaign is aimed at professionals and businesses acting in the course of their trade. Where a user is in fact a consumer, the mandatory statutory guarantees and the dispute-resolution provisions of the Terms of Service apply in addition.
2. Duration
Kapta may amend, suspend or end the Campaign at any time with future effect, by publishing the change on this page. Rewards already granted and validated are honoured, without prejudice to clause 9.
3. Who may invite
- an active Rioko account, not in breach of these terms or of the Terms of Service;
- an active subscription in good standing, not in arrears, suspended or cancelled.
The right to invite belongs to the account, not to each user: an account with several users has one link and one reward cap.
4. Who may be invited
- be a new customer: never have held a Rioko account, subscription, trial or free-access period;
- reach Rioko through the referral link and be recorded as such at sign-up. A referral cannot be attached after sign-up;
- complete onboarding in full, providing valid billing details including a tax number where applicable, and a valid payment method;
- not already be registered with Rioko under another tax number, email or trading name.
5. The reward
- the invitee receives a subscription with 2 free months. Payment is taken automatically at the end of the second month, at the price of the chosen plan, unless cancelled before that date;
- the inviter receives 2 free months added to the running subscription. The next billing date is pushed out by 2 months.
On the annual plan, renewal occurs 2 months later than it otherwise would, and that new date becomes the renewal date for the years that follow. The same applies to the billing day on the monthly plan.
During the free months the service runs unchanged and no invoice is issued for the Rioko service.
6. Cap
Where an account holds more than one subscription, the reward is applied to the account's oldest subscription.
7. When the reward is granted
The inviter's reward is applied to the subscription running at that moment. If you have no active subscription then, your reward is suspended and is not granted automatically. If your subscription becomes active again before the end of the Campaign, you may ask for it by email to [email protected], and Kapta will review the request.
Granting immediately is done in the expectation that the invitee remains a customer. If they do not, clause 9 applies.
8. How the invitation may be shared
- send it in bulk, by email, SMS or unsolicited message, or by automated means;
- buy advertising on the terms "Rioko", "Kapta" or confusingly similar terms, on any search engine or network;
- post it on coupon, discount, cashback, deal-forum or marketplace sites;
- use domains, pages, profiles or communications suggesting that you represent Rioko or Kapta, or that the invitation is an official communication;
- resell, auction or transfer the link.
You are solely responsible for the communications you send, including compliance with the rules on unsolicited commercial communications (Decreto-Lei 7/2004) and with any data-protection obligations falling on you as sender.
9. Abuse, exclusions and reversal
- you refer yourself, directly or indirectly;
- both accounts belong to the same person or company, or to entities under common control, even under different tax numbers;
- both accounts share the same payment method, card, billing address, or data indicating the same interested party;
- the invitee is a user, employee or additional seat of the inviter's account;
- duplicate accounts were created, or false, third-party or unauthorised data was used.
The inviter's reward is reversed where the invitee cancels during the 2 free months, or where their first payment definitively fails, is refunded, voided or charged back within the following 60 days. Reversal restores the normal billing date.
Where there are reasonable grounds to suspect abuse, circumvention of these terms or breach of clause 8, Kapta may also refuse the reward, suspend or void the link, invoice the period meanwhile enjoyed, exclude the account from future participation and, in serious cases, suspend or terminate the account under the Terms of Service.
If you cancel your subscription, stop paying, or your account is suspended, the free months end with the subscription, with no residual value, no refund and no transfer to another account. A suspension of service during the free months does not extend them.
10. Nature of the reward and tax treatment
The reward is not remuneration, an introduction commission, or consideration for any service provided to Kapta. Accordingly, you must not issue any invoice to Kapta on that basis.
Under Article 16(6)(b) of the Portuguese VAT Code, discounts granted are excluded from the taxable amount: during the free months no invoice is issued for the service and no VAT is charged. The accounting treatment of the discount on your side is your responsibility.
11. Personal data
The inviter is shown only what is needed to verify the reward: the date of the invitation, its status and the name given by the invitee. Their email, tax number, contacts, volumes, connected platforms and any other data are not disclosed.
The invitee is informed of this sharing at sign-up and may at any time ask for the name to be hidden, leaving only the date and status visible. Requests to [email protected].
12. Deciding whether a referral counted
These terms are governed by Portuguese law. The forum and, where the user is a consumer, the alternative dispute resolution routes and the electronic Complaints Book are those set out in the Terms of Service.
